Default we've been approached by a record company - help!

a group that i have produced for the past few years has been
approached by a record company that wants to take over distribution of
their past CDs and the new ones currently in production. i have
released the past three CDs for this group under my studio label, so
my studio should have some rights here, but i dont knnow what - where
does my studio fit into this contract discussion? what kinds of
things should i make sure are in any contract that i might make with a
record company? what do i need to watch out for? what kinds of
reimbursement and royalties/percentages are common? thanks.
